Following is a generic template of the photography services agreement we require all clients to sign before work is performed:

This agreement is between Gurley Marketing Group LLC, 9616 Hidden Valley Drive, St. Louis, MO 63127, dba Outdoor Pet Photography Services, hereafter referred to as “the Photographer”, and CLIENT NAME AND ADDRESS, hereafter referred to as “the Client.”

The Photographer agrees to provide photography services to the Client in consideration of payment provided pursuant to the terms of the photography services contract.

Scope of Work and the Photographer’s Responsibilities

The Photographer agrees to take photographs of the Client’s pets or stock, which includes:

• Consulting and coordinating in advance with the Client on potential locations and details regarding the photo shoot, hereafter referred to as “the Shoot.”
• Spending up to one hour on location photographing with professional-level camera equipment and lenses.
• Processing and evaluating all photographs taken during the Shoot and identifying the best photographs, all to occur within 14 (fourteen) days of the Shoot. These best photographs will be available for the Client to review on a private, password-protected gallery on the Photographer’s website: www.gurleyphotography.net. A link to the website page specific to this engagement will be provided to the Client.
• The Client can choose up to 10 of the best photographs for the Photographer to make final edits using professional-level photo editing software. These will serve as the final deliverable for the project.
• Delivering the final 10 photographs via a method agreed to by the Parties.
• Making best effort to cater to the specific aesthetic preferences of the Client.

Responsibilities of the Client

The Client agrees to be an active participant in this project, which includes:

• Assisting and cooperating with the Photographer in all facets of the project, including but not limited to participating in pre-shoot consultations, and identifying and coordinating access to a location suitable for their animal(s).
• The Client, or a representative agreed to in advance, must be present and in control of the animals the entire time of the Shoot.
• The Client agrees that the Photographer shall be the sole and exclusive photographer for the events specified in the Photography Services Contract. The Client agrees and understands that no party other than the Photographer may take pictures of any poses, lighting situations or setups made by the Photographer.
• All photographs provided to the Client are for personal use. A print release form will be provided to allow printing and publishing for personal purposes only. If the Client is approved to use the photographs for commercial purposes, the Photographer will provide a separate release.

Fees (THIS SECTION WILL BE SPECIFIC TO EACH SHOOT)

The Client agrees to pay the sum total of $375.00 for the Photographer’s services:

• A deposit of $100.00 is due upon the signing of this contract.
• The remaining $275.00 is due before the final deliverable photographs are sent to the Client.
• Additional fees if applicable:
  • $75 for each additional pet
  • Mileage fee of $.70/mile for total miles driven outside of St. Louis County, Missouri or outside of Benton and Washington counties in Northwest Arkansas..

If the Client cancels the Shoot for any reason within 48 hours before the Shoot and does not plan to reschedule, the deposit will not be returned to the Client, unless determined otherwise by the Photographer. If the Client cancels prior to 48 hours before the Shoot with the intention of rescheduling, the deposit will be held for that future event.

Indemnifications

1. The Client agrees that the Photographer shall in no way be held liable for compromised photographic output due to interference from third parties or the environment.
2. If the Photographer is unable to perform the services in this contract due to any cause outside its control, such as fire, flood, casualty, an act of God or any other reasonable cause, the Client agrees to indemnify the Photographer for any loss, damage or liability. However, the Photographer will return in full all payments made by the Client.
3. The Client agrees to indemnify and hold harmless the Photographer for any liability, damage or loss related to technological failure, including cameras, hard drives and memory cards. The Photographer will take reasonable steps to prevent data loss but is not liable for loss of data due to technical failure.
4. The Photographer will retain copies of the best photographs as determined by the Photographer for six months. After this period has expired, the Photographer has no duty to retain copies or original files or photos from the project. The Photographer and Client may agree to have other photographs retained for a longer period.
5. The Client will not hold the Photographer or the owner of the property where the photographs are taken liable for any injury that may occur during the session.
6. The Client agrees and understands that the Photographer may perform digital retouching of photos, including blemish removal and other edits that the Photographer believes will improve the photos. The Photographer will not add creative elements to any photograph that were not present on the site as a part of this engagement unless agreed to by the parties in advance, hereafter referred to as “Unique Editing.” Charges for Unique Editing will be included in this agreement.
7. The Photographer shall not be responsible for photographs not taken because of the Client’s failure to provide reasonable assistance or cooperation. The Photographer has the right to end the session, without refund, due to a lack of cooperation or respect.
8. It is understood that the Photographer will not deliver to the Client every exposure taken.

Model Release

The Client grants permission to the Photographer and its assigns, licensees and sublicensees, permission to use the images from the project in any and all forms of media for commercial purposes, advertising, trade, personal use, or any and all other uses. The Client’s full name will not be revealed in any situation.

Legal Fees

Any legal disputes related to this contract will be resolved according to the laws of St. Louis County, Missouri in a court of law.
